Reporting directly to Acadia’s Executive Vice President, General Counsel, and Secretary, the Vice President, Associate General Counsel and will play an integral role in Acadia’s lean, efficient team. This role will be responsible for all corporate transactional work, with an emphasis on licensing and will work closely with the General Counsel and the business development team on a wide array of matters fundamental to Acadia’s continued growth and success. The VP, AGC will interface routinely with a large number of leaders and functional area staffers, often with respect to sensitive and high-risk matters; as a consequence, outstanding communication and presentation skills will be key to their success within the organization.

Primary Responsibilities:

  • Provide day-to-day legal services and strategic input to the Company on a broad variety of issues.
  • Directly handle (with assistance of outside counsel) the Company’s licensing transactions and other business development opportunities.
  • Assist in preparing SEC reports and disclosures (including reviewing and advising on 10-Ks and 10-Qs, drafting 8-Ks, drafting proxy statements, overseeing Section 16 reporting, and leading legal aspects of SEC reporting process).
  • Work with the General Counsel to support the business in other substantive areas, as needed.
  • Manage outside counsel, primarily in connection with transactional matters.

Education/Experience/Skills:

  • J.D. from an accredited law school.
  • Admission and membership in good standing in one State Bar.
  • A minimum of 10 years of relevant industry and/or law firm experience (preferably both).
  • Substantial experience with pharmaceutical licensing transactions, together with the ability and desire to remain directly involved in all aspects of the transaction process.
  • Excellent business acumen and exceptional negotiation skills.
  • Must be a team player in the truest sense of the phrase; someone who is solutions-oriented and collaborative, able to roll up their sleeves and collaborate with all levels in the organization as well as external parties.
  • Capable of moving with alacrity and flexibility as a member of a lean team; exhibits a willingness to seize opportunities, develop new skills and support additional practice areas as needed.
  • Flexible, high level of integrity, action and results oriented.
  • While performing the duties of this job, the employee is regularly required to stand; walk; sit; use hands to finger, handle, or feel; reach with hands and arms; climb or balance; stoop, kneel, crouch, see, talk or hear in a standard office environment and independently of remote locations. Employee must occasionally lift and/or move up to 20 pounds.  Employee must be fully vaccinated against Covid-19 in accordance with our policy and in order to meet any independent vaccination requirements that our clients and client facilities may have.
